Licensor grants to Licensee the non-exclusive right to duplicate the
Song for maximum pressing of 6,000 copies.

Licensor shall pay the amount of $__________ to Licensee for placement
on "Skratch Mp3 sampler, Vol. 49. All 6,000 SKRATCH compilation
CDs pressed are promotional copies and will be free to the public therefore
Licensor shall not receive any mechanical or sound recording royalties or
payment of any kind whatsoever from Licensee for use of the song.

A total of 100 CD's will be given to each band or label for being a part of
the compilation. Licensor shall retain all copyrights to the song. Payment
in full, submission of "mp3" song on CD must be turned in by deadline agreed
upon. Send all materials regarding compilation to:
